These Terms of Service (“Terms”) govern access to and use of rainfrog.ai (the “Service”), operated by Rainfrog S.r.l. (“we”, “us”, “our”).

Rainfrog.ai is a subscription-based platform that allows users to:

• Upload products, characters, environments, and references

• Use a node-based system to design visual workflows

• Generate prompts using AI

• Generate images using AI

• Access preset libraries provided by the platform

The Service is provided “as is” and may change over time.

3. Eligibility

You must be at least 16 years old to use the Service.
By using the Service, you confirm that you have the legal capacity to enter into these Terms.

4. Accounts

You are responsible for:

• Keeping your login credentials secure

• All activity that occurs under your account

• Ensuring your information is accurate and up to date

We may suspend or terminate accounts that violate these Terms.

5. Subscriptions and Payments

• The Service is offered on a subscription basis.

• Prices, billing cycles, and features are described on the website.

• Subscriptions renew automatically unless canceled before renewal.

• Payments are handled by third-party providers. We do not store full payment information.

  Credits issued as part of a subscription plan will expire at the end of each billing cycle, upon the renewal date of the subscription. In contrast, credits obtained through top-up purchases do not expire and will remain available until used.

  To the fullest extent permitted by applicable law, all payments are final. Credits are non- refundable, non-transferable, and cannot be exchanged for currency. This policy does not limit any mandatory statutory rights or remedies available to consumers in certain jurisdictions where such limitations are prohibited by law.

  Prices exclude taxes. You are responsible for all applicable taxes, except those based on Company’s income. Payments are processed in U.S. Dollars via a third-party payment processor, and you agree to their terms and authorize them to charge your payment method.

  Non‑Refund Policy. ALL PAYMENTS FOR CREDITS, SUBSCRIPTIONS, OR ANY OTHER ENHANCOR AI OFFERINGS ARE FINAL. BECAUSE EACH GENERATION CONSUMES IRREVERSIBLE COMPUTE RESOURCES, COMPANY DOES NOT PROVIDE REFUNDS, CREDIT REVERSALS, OR PRORATED CANCELLATIONS FOR ANY REASON, INCLUDING DISSATISFACTION WITH OUTPUT CONTENT, ACCIDENTAL PURCHASES, UNUSED CREDITS, OR ACCOUNT TERMINATION.

6. User Content

6.1 Ownership

You retain ownership of all content you upload or generate using the Service.

6.2 License to Operate

You grant Mesh Flow LLC Fz a limited, non-exclusive, royalty-free license to process your content solely for operating and improving the Service.

6.3 Responsibility

You are solely responsible for your content and must ensure that:

• You own or have rights to upload it

• It does not infringe third-party rights

• It does not violate laws or regulations

7. Prohibited Use

You may not use the Service to:

• Upload illegal, abusive, harmful, or infringing content

• Generate content that violates laws or third-party rights

• Attempt to reverse engineer or abuse the platform or APIs

• Interfere with security, infrastructure, or other users

We reserve the right to suspend accounts for violations.

8. AI Disclaimer

• AI outputs are probabilistic and may be inaccurate, biased, or incomplete.

• Rainfrog does not guarantee accuracy, legality, or fitness of generated content.

• You are responsible for reviewing and validating outputs before use.

9. Third-Party Services

The Service integrates third-party services (OpenAI, Google Gemini, hosting, payments).
We are not responsible for outages, changes, or errors from third parties.

10. Intellectual Property

All platform software, design, branding, and preset libraries remain the property of Mesh Flow LLC Fz

You may not copy, resell, or exploit platform assets without permission.

11. Termination

You may cancel your subscription at any time.
We may suspend or terminate your access if you violate these Terms or applicable laws.

12. Limitation of Liability

To the maximum extent permitted by law:

• Mesh Flow LLC Fz is not liable for indirect, incidental, or consequential damages.

• Total liability is limited to the amount paid by you in the last 12 months.

13. Indemnification

You agree to indemnify Mesh Flow LLC Fz against claims arising from your use of the Service or violation of these Terms.

14. Governing Law and Jurisdiction

These Terms are governed by Italian law.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.

15. Changes to Terms

We may update these Terms. Continued use after changes constitutes acceptance.
